These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, portals, technology, coaching and mentoring services, peer community features, assessments, resources, events, newsletters, institutional programs, and other products and services provided by ShineQuo Inc. ("ShineQuo," "we," "us," or "our"), collectively referred to as the "Services."
These Terms apply to anyone who accesses or uses the Services, including students, individual users, coaches, mentors, institutional administrators, newsletter subscribers, event participants, and website visitors.
By creating an account, clicking an acceptance checkbox, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and our Privacy Policy.
If you are accessing ShineQuo through a college, university, employer, organization, or other institution ("Institution"), additional contractual terms between ShineQuo and that Institution may apply. If a signed agreement between ShineQuo and an Institution conflicts with these Terms regarding institutional responsibilities or institution-provided data, the signed agreement will control to the extent of that conflict.
Separate agreements may also apply to coaches, mentors, contractors, partners, or other service providers. Those agreements supplement these Terms.

1. About ShineQuo
​
ShineQuo is a student and young-adult growth platform designed to support personal, academic, career, leadership, relationship, life-management, and other developmental goals.
Depending on the Services available to you, ShineQuo may provide:

one-to-one coaching or mentoring;
-
coach or mentor matching;
-
goal-setting and action-planning tools;
-
self-assessments, questionnaires, diagnostics, and reflection tools;
-
personalized resources and recommendations;
-
peer community features;
-
workshops, webinars, events, and educational content;
-
AI-assisted action suggestions and summaries;
-
institutional engagement tools and analytics;
-
scheduling and video-meeting integrations;
-
student benefits, promotions, rewards, or partner offers; and
-
other features that ShineQuo may introduce over time.
Features may differ based on your location, account type, Institution, subscription, program, eligibility, or available session credits.
ShineQuo may add, modify, suspend, or discontinue features from time to time.

2. Eligibility and Minors
​
ShineQuo is intended primarily for college students, graduate students, young adults, coaches, mentors, educators, and institutional professionals.
You must be at least 16 years old to create a ShineQuo account unless ShineQuo expressly provides a different age requirement for a particular program.
If you are under the age of majority where you live, you may use ShineQuo only with the permission of your parent or legal guardian, except where your Institution is legally authorized to provide or arrange your access.
By using the Services, you represent that you meet the applicable eligibility requirements.
ShineQuo is not directed to children under 13 and does not knowingly permit children under 13 to create accounts or provide personal information directly through the Services. If we learn that we have collected personal information from a child under 13 in circumstances prohibited by applicable law, we will take appropriate steps to delete it.

3. Accounts and Account Security
​
Some ShineQuo Services require an account.
You agree to provide accurate, current, and complete information and to update information when necessary.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You may not share your login credentials with another person or allow another person to impersonate you.
You must promptly notify ShineQuo if you believe your account has been accessed without authorization.
ShineQuo may require identity, eligibility, institutional affiliation, or account verification when reasonably necessary to protect users, administer institutional programs, prevent misuse, or comply with legal obligations.
4. Different User Roles
ShineQuo supports different types of users.
Students and Individual Users
Students and individual users may create profiles, identify goals, complete questionnaires or assessments, book coaching or mentoring sessions, participate in community features, access resources, provide feedback, and use other available Services.
Coaches and Mentors
Coaches and mentors may create professional profiles, provide information about their background, credentials, education, languages, expertise, and availability, accept and conduct sessions, provide session-related comments or action items, and use coach-specific platform tools.
Coaches and mentors may be employees, contractors, independent professionals, program participants, or other authorized service providers depending on their relationship with ShineQuo. No coach or mentor has authority to legally bind ShineQuo unless ShineQuo expressly authorizes them to do so.
Institutional Administrators
Authorized administrators from Institutions may access administrative features made available under their Institution's agreement with ShineQuo. Access may include eligibility administration, utilization information, session-credit information, program reporting, referrals, aggregated analytics, and certain safety or moderation information depending on the Institution's configuration and agreement.
Institutional administrators may access only information they are authorized to access.

5. Coaching and Mentoring Services
​
ShineQuo facilitates coaching and mentoring intended to support reflection, goal setting, growth, skill development, decision-making, accountability, and forward action.
Coaching and mentoring through ShineQuo are not healthcare, psychotherapy, counseling, diagnosis, medical treatment, legal services, financial advisory services, or emergency services.
A person who separately holds a professional license does not automatically act in that licensed professional capacity while providing ShineQuo coaching or mentoring unless ShineQuo expressly identifies the service otherwise in writing.
Information, suggestions, exercises, resources, or recommendations provided through coaching are educational and developmental in nature.
You remain responsible for your decisions, actions, academic choices, career choices, financial decisions, relationships, and other outcomes.
ShineQuo does not guarantee that coaching or mentoring will produce any particular outcome, result, grade, employment opportunity, admission, promotion, relationship, financial result, or other benefit.
6. Coach and Mentor Matching
ShineQuo may use information such as your goals, preferences, questionnaire responses, availability, areas of focus, language preferences, or other information to recommend or match you with coaches or mentors.
A match is a recommendation and does not guarantee compatibility, availability, or a particular outcome.
You may request a different coach or mentor where that option is available.
Coach and mentor availability may change.
7. Assessments, Diagnostics, Questionnaires, and Resources
ShineQuo may provide assessments, questionnaires, diagnostics, reflection exercises, strength tools, planning tools, AI-assisted tools, educational resources, or similar experiences.
Unless expressly stated otherwise, these tools are designed for educational, developmental, coaching, and self-reflection purposes.
They are not clinical assessments, psychological diagnoses, medical evaluations, employment-selection instruments, academic-admissions instruments, or professional certifications.
Results should be interpreted as information to support reflection and action rather than as definitive statements about your abilities, personality, future, or eligibility.
8. ShineQuo Is Not an Emergency Service
ShineQuo is not designed to provide emergency or crisis-response services and is not continuously monitored for emergencies.
If you or another person faces an immediate threat of serious harm or another emergency, do not rely on ShineQuo, a coach, the peer community, AI features, email, or platform messaging for emergency assistance. Contact appropriate local emergency services or qualified local support.
ShineQuo cannot guarantee that it will identify every situation requiring urgent assistance or that any intervention will be successful.
9. Privacy, Confidentiality, and Coaching Information
Your use of ShineQuo is also governed by our Privacy Policy.
Coaching-related information may include information you provide when booking a session, goals, questionnaire responses, session-related comments, action items, feedback, and other information entered through ShineQuo.
ShineQuo uses reasonable measures intended to restrict access to this information to people and systems that need it to provide, operate, administer, secure, or legally support the Services.
However, communications with a ShineQuo coach or mentor are not necessarily protected by physician-patient, therapist-client, attorney-client, or other legally recognized professional privilege.
Information may be accessed, preserved, or disclosed where reasonably necessary to operate the Services, investigate security or policy violations, respond to safety concerns, comply with law, respond to valid legal process, protect rights or safety, or as otherwise described in the Privacy Policy.
Users may not record a coaching or mentoring session without the express consent of all participants.
10. Peer Community and User Interactions
ShineQuo may offer community spaces where users can post questions, experiences, comments, responses, or other content.
Where ShineQuo provides an anonymous or pseudonymous posting option, "anonymous" means that your identity is not ordinarily displayed to other community users with that content. It does not mean that ShineQuo is technically unable to associate the content with your account.
ShineQuo may maintain that association for moderation, safety, security, legal compliance, and platform administration.
Users should avoid posting information that could unnecessarily identify themselves or another person.
You are responsible for your interactions with other users and for the information you choose to post.
Other users are not ShineQuo representatives, and their statements do not represent ShineQuo.
ShineQuo may use automated filtering, reporting tools, and human moderation to help enforce community standards. We reserve the right, but do not assume an obligation, to review every item of user content.
Depending on the nature of a report, applicable law, safety considerations, and an Institution's agreement with ShineQuo, certain flagged content or related information may be reviewed by authorized ShineQuo personnel or authorized institutional personnel.
11. Community Rules and Acceptable Conduct
You may not use ShineQuo to:

threaten, harass, stalk, bully, intimidate, exploit, or abuse another person;
-
promote violence or illegal activity;
-
impersonate another individual or organization;
-
post knowingly false, fraudulent, defamatory, or deceptive content;
-
disclose another person's private information without authorization;
-
post content that unlawfully discriminates against or targets individuals or groups;
-
exploit or endanger minors;
-
encourage conduct that creates a serious risk of harm;
-
distribute spam, unauthorized advertising, chain messages, or scams;
-
infringe copyright, trademark, privacy, publicity, or other rights;
-
upload malware, malicious code, or harmful files;
-
attempt to bypass authentication, access controls, content controls, or security systems;
-
scrape, harvest, or systematically collect information about other users;
-
access another user's account;
-
reverse engineer or interfere with the Services;
-
use automated bots or scripts except where ShineQuo expressly permits them;
-
use ShineQuo content or user content to train, fine-tune, benchmark, or develop an artificial intelligence or machine-learning system without written authorization; or
-
use the Services for any unlawful purpose.
ShineQuo may remove content, restrict functionality, issue warnings, suspend accounts, terminate accounts, or take other reasonable action when we believe these Terms, our community rules, applicable law, or user safety may be affected.
12. User Content
"User Content" means information, posts, comments, responses, feedback, images, documents, profile information, or other materials that you submit to ShineQuo.
You retain ownership of your User Content.
You grant ShineQuo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, moderate, format, and otherwise use your User Content as reasonably necessary to operate, secure, administer, provide, and improve the Services and to comply with legal obligations.
This license does not give ShineQuo ownership of your User Content.
You represent that you have the rights necessary to submit your User Content and permit ShineQuo to use it as described in these Terms and the Privacy Policy.
You should not upload confidential third-party information, copyrighted material you do not have permission to share, login credentials, government identification numbers, or other unnecessary highly sensitive information.
13. Coaches and Mentors
If you use ShineQuo as a coach or mentor, you additionally agree to:
-
provide accurate information regarding your identity, background, qualifications, and experience;
-
provide services professionally and within your competence;
-
follow applicable laws and professional or ethical obligations;
-
protect information received from users;
-
use ShineQuo information only for authorized ShineQuo purposes;
-
avoid misrepresenting coaching or mentoring as a licensed professional service when it is not;
-
avoid inappropriate solicitation or exploitation of users;
-
maintain accurate availability and session information;
-
protect access to your coach or mentor account; and
-
comply with any separate coach, mentor, contractor, confidentiality, or program agreement with ShineQuo.
Any separate written agreement between ShineQuo and the coach or mentor controls if it conflicts with this section.
14. Institutions and Institutional Administrators
Institutions may sponsor or provide access to ShineQuo for eligible individuals.
An Institution may provide ShineQuo with information necessary to determine eligibility, establish accounts or access, allocate benefits or session credits, administer programs, or perform agreed services.
The Institution represents that it has a lawful basis and appropriate authority to provide such information to ShineQuo.
Institutional administrators must use ShineQuo data only for authorized institutional purposes and in accordance with applicable law and their agreement with ShineQuo.
ShineQuo may provide Institutions with program information such as activation, utilization, booking activity, repeat engagement, session-credit information, aggregate trends, feedback metrics, and other reporting described in the applicable institutional agreement.
Institutional access to ShineQuo does not give an Institution unrestricted access to every student's account or coaching content.
Any information shared with an Institution is subject to the applicable agreement, the Privacy Policy, applicable law, safety requirements, and the user's permissions where required.
If your ShineQuo access is funded or sponsored by an Institution, your eligibility or access may change when:

you are no longer eligible under that Institution's program;
-
the Institution's agreement with ShineQuo ends;
-
available institutional credits are exhausted;
-
the Institution changes its program; or
-
another eligibility condition is no longer satisfied.
15. FERPA and Institution-Provided Education Records
Where applicable, an Institution may provide ShineQuo with information that constitutes an education record under the Family Educational Rights and Privacy Act ("FERPA").
When ShineQuo receives such data as an Institution's contractor or service provider under FERPA, ShineQuo will use and disclose that information in accordance with applicable law and the relevant institutional agreement.
Where an Institution relies on FERPA's school-official exception, the applicable agreement between ShineQuo and the Institution is intended to establish the required limitations regarding ShineQuo's use, maintenance, control, and redisclosure of covered education-record information.
Students should direct requests relating to FERPA rights concerning records maintained on behalf of an Institution to the Institution where required by law.
Nothing in these Terms expands an Institution's rights to access a student's ShineQuo information beyond what is permitted under applicable law and the Institution's agreement with ShineQuo.
16. Session Scheduling, Rescheduling, Cancellations, and No-Shows
Session availability depends on coach availability, program eligibility, account status, and available session credits or payment.
The cancellation, rescheduling, no-show, and credit rules displayed when you book a session form part of these Terms.
Unless a different rule is shown for your program, cancellations or rescheduling completed sufficiently in advance of a session may allow an eligible session credit to be returned. Late cancellations or student no-shows may result in loss of the applicable session credit.
ShineQuo may establish a minimum advance-notice period, including a six-hour cancellation or rescheduling period, and may modify that period for particular programs.
If a coach cancels or ShineQuo cannot provide a paid or credited session for reasons attributable to ShineQuo or the coach, ShineQuo may restore the applicable session credit, reschedule the session, or provide another appropriate remedy.
Users should rely on the booking information shown within ShineQuo as the authoritative record of a ShineQuo session.
17. Session Credits, Payments, Promotions, and Refunds
Some Services may require payment or the use of session credits.
Credits may be:
-
purchased by a user;
-
funded by an Institution;
-
provided through a promotion;
-
granted by ShineQuo; or
-
provided under another program.
Unless expressly stated otherwise, session credits have no cash value, may not be sold, and may not be transferred between users.
Institution-sponsored, promotional, or complimentary credits may be subject to eligibility requirements, expiration dates, program limits, or institutional agreements.
Prices and applicable conditions are displayed at the time of purchase or booking.
Payments may be processed through third-party payment providers. ShineQuo does not require users to provide full payment-card information directly to ShineQuo where the transaction is handled by the payment provider.
Except where required by law or expressly stated at checkout, payments are not automatically refundable solely because a user changes their mind after the relevant refund or cancellation period.
Promotional offers may be changed, withdrawn, or limited where permitted by law.
18. Google Calendar and Google Meet Integration
ShineQuo offers an optional Google Calendar and Google Meet integration for coaches.
Connecting a Google account is voluntary and is not required for general use of ShineQuo.
When a coach connects their Google account, ShineQuo may request permission to:
-
create, update, and delete a calendar event associated with a ShineQuo coaching session;
-
read the ShineQuo-created event so changes made by the coach can be reflected in ShineQuo; and
-
create a Google Meet meeting space for the session.
The integration is intended to create a calendar event for an accepted ShineQuo session, invite the student, update or remove the event when the ShineQuo booking changes, and reconcile supported changes made by the coach.
ShineQuo's application is designed to use Google Calendar access only for ShineQuo-created session events and not to read, index, analyze, profile, or use unrelated calendar events.
Information received from Google Workspace APIs is not used for advertising and is not provided as input to ShineQuo's artificial intelligence features.
ShineQuo's use and transfer of information received from Google Workspace APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
A coach may revoke ShineQuo's Google access through their Google account. Once authorization is revoked, ShineQuo will no longer be able to maintain the connected Google event. Calendar events already created may remain within the coach's Google account unless removed by the coach.
Google services are provided by Google and are also subject to Google's terms, policies, availability, and technical limitations.
19. Artificial Intelligence Features
Certain ShineQuo features use artificial intelligence.
ShineQuo currently uses Google's Gemini API for limited features including:
Coaching Suggestions
Following a coaching session, ShineQuo may generate suggested action items or a coaching plan using information entered into ShineQuo, such as:
-
the student's ShineQuo profile and stated goals;
-
responses to ShineQuo's coach-matching questionnaire;
-
the student's booking note;
-
comments entered into ShineQuo by the coach after the session; and
-
previous action items stored within ShineQuo.
Institutional Summary Generation
Authorized institutional users may generate written summaries based on aggregate ShineQuo statistics such as:
-
matching forms completed;
-
sessions booked;
-
repeat bookings;
-
average or maximum sessions per user;
-
average intervals between sessions;
-
aggregate feedback ratings;
-
anonymized feedback comments; and
-
distributions of coaching topics.
Direct student identifiers such as student names and email addresses are not included in the input provided to the AI model for this institutional-summary feature.
Google Workspace Boundary
No information received from Google Workspace APIs is included in any ShineQuo AI prompt.
Calendar event content, attendee information, RSVP information, meeting information, and Google calendar identifiers are not provided to Gemini or another AI/ML provider for ShineQuo's AI features.
ShineQuo does not use Google Workspace user data to develop, train, or improve a generalized or non-personalized AI/ML model.
AI Limitations
AI-generated output may contain errors, omissions, or inaccurate information.
AI output is intended to assist human reflection and decision-making and should not be treated as independently authoritative.
AI-generated coaching suggestions may be reviewed, modified, rejected, or supplemented by a coach.
AI-generated institutional summaries should be reviewed by an authorized institutional user.
ShineQuo does not use these AI-generated outputs by themselves to make decisions that produce legal or similarly significant effects concerning an individual, such as academic discipline, admissions, employment decisions, or eligibility for public benefits.
20. Third-Party Services and Integrations
ShineQuo may integrate with or link to services operated by third parties, including video-meeting providers, calendars, analytics providers, payment processors, communication providers, websites, educational resources, or partner services.
Third-party services are governed by their own terms and privacy practices.
ShineQuo does not control and is not responsible for the availability, security, accuracy, content, or conduct of independent third-party services.
21. Rewards, Discounts, and Brand Partners
ShineQuo may provide information about discounts, promotions, rewards, benefits, or offers made available by third-party partners.
Unless expressly stated otherwise, the third-party partner—not ShineQuo—is responsible for the product, service, fulfillment, eligibility requirements, availability, refund policy, safety, and quality of the partner offer.
Offers may be subject to additional partner terms and may change or expire.
The presence of a partner or offer on ShineQuo does not constitute a guarantee or endorsement of every product or service provided by that partner.
22. Communications and Newsletter
By creating an account, you agree that ShineQuo may send communications reasonably necessary to operate your account or provide the Services, including booking confirmations, reminders, cancellations, security messages, account notices, and program communications.
Transactional and service-related messages may be sent even if you opt out of marketing.
If you subscribe to a ShineQuo newsletter or otherwise consent to promotional communications, ShineQuo may send you information about resources, programs, events, partnerships, product features, and other offerings.
You may unsubscribe from marketing email using the unsubscribe mechanism provided in the message.
Unsubscribing from marketing does not cancel your account or prevent necessary service-related communications.
23. ShineQuo Intellectual Property
The Services, including software, platform design, branding, logos, graphics, resources, assessments, templates, methodologies, videos, written content, databases, and other ShineQuo-created materials, are owned by or licensed to ShineQuo and are protected by applicable intellectual-property laws.
Subject to these Terms, ShineQuo grants you a limited, personal, revocable, non-exclusive, non-transferable right to access the Services for their intended purpose.
You may not copy, sell, redistribute, reproduce, scrape, reverse engineer, commercially exploit, or create unauthorized derivative works from the Services.
Without ShineQuo's prior written permission, you may not use ShineQuo content, platform content, or substantial collections of platform data to train, fine-tune, evaluate, develop, or improve machine-learning or artificial-intelligence systems.
24. Feedback
If you voluntarily provide ideas, suggestions, comments, or feedback about ShineQuo, you grant ShineQuo the right to use that feedback without restriction or compensation, provided that ShineQuo does not publicly identify you as the source without permission.
25. Suspension and Termination
You may stop using ShineQuo at any time.
Account-deletion requests are handled in accordance with the Privacy Policy and applicable law.
ShineQuo may suspend, restrict, or terminate access when reasonably necessary because of:

violation of these Terms;
-
misuse of the Services;
-
risk to users or the platform;
-
fraudulent or unlawful activity;
-
nonpayment;
-
loss of eligibility;
-
expiration of an institutional program;
-
security concerns;
-
repeated violations of community rules; or
-
legal or regulatory requirements.
Where appropriate, ShineQuo may provide notice or an opportunity to resolve the issue, but immediate action may be taken where reasonably necessary to protect users, ShineQuo, an Institution, or another person.
Termination does not eliminate obligations or rights that by their nature should survive termination.
26. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
SHINEQUO DOES NOT WARRANT THAT:
-
THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE;
-
EVERY ERROR OR DEFECT WILL BE CORRECTED;
-
INFORMATION OR AI OUTPUT WILL ALWAYS BE COMPLETE OR ACCURATE;
-
A PARTICULAR COACH OR MENTOR WILL ALWAYS BE AVAILABLE;
-
YOU WILL ACHIEVE A PARTICULAR PERSONAL, ACADEMIC, PROFESSIONAL, FINANCIAL, RELATIONSHIP, OR OTHER OUTCOME; OR
-
THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, SHINEQUO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES THAT MAY OTHERWISE ARISE.
Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.
27. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHINEQUO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF OPPORTUNITY, OR SIMILAR DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, SHINEQUO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
-
THE AMOUNT YOU PERSONALLY PAID TO SHINEQUO FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
-
US $100.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
Nothing in these Terms limits liability for fraud, intentional misconduct, or other liability to the extent such limitation is prohibited by applicable law.
28. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless ShineQuo and its officers, directors, employees, contractors, and affiliates from third-party claims, liabilities, losses, damages, and reasonable costs resulting from:

your unlawful use of the Services;
-
your material violation of these Terms;
-
User Content you submit;
-
your infringement of another person's rights; or
-
fraud or intentional misconduct by you.
This section does not require a consumer to indemnify ShineQuo for ShineQuo's own unlawful conduct.
29. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.
This section applies to individual users in the United States except where prohibited by law or superseded by a separate written agreement with ShineQuo.
Informal Resolution
Before beginning arbitration or litigation, you and ShineQuo agree to make a good-faith effort to resolve the dispute informally.
The party raising the dispute must provide written notice describing the dispute and requested resolution.
The parties will have at least 30 days after receipt of that notice to attempt informal resolution.
Individual Arbitration
If the dispute cannot be resolved informally, either party may elect binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, unless another mutually agreed arbitration provider is selected.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitrator may award the same individual remedies that would otherwise be available in court, subject to these Terms and applicable law.
Exceptions
Either party may bring an eligible matter in small-claims court.
Either party may seek temporary or preliminary injunctive relief from a court where reasonably necessary to protect intellectual property, confidential information, account security, or prevent unauthorized access to the Services.
No Class Actions
TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
YOU AND SHINEQUO WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.
Jury Trial Waiver
Where a dispute is subject to arbitration, you and ShineQuo waive the right to a jury trial.
Arbitration Opt-Out
You may opt out of this arbitration agreement by sending ShineQuo written notice within 30 days after you first accept these Terms.
Your notice must state your name, the email address associated with your account, and that you wish to opt out of the arbitration agreement contained in the ShineQuo Terms & Conditions.

Opting out of arbitration does not affect the remaining provisions of these Terms.
30. Governing Law
Except to the extent federal law or mandatory consumer law provides otherwise, these Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.
For disputes not subject to arbitration, you and ShineQuo consent to the jurisdiction of the appropriate state or federal courts located in Massachusetts, subject to any mandatory rights available under applicable law.
31. Privacy Policy
Our Privacy Policy explains how ShineQuo collects, uses, stores, shares, protects, and otherwise processes personal information.
The Privacy Policy is incorporated into these Terms by reference.
32. Changes to These Terms
ShineQuo may update these Terms to reflect changes in the Services, business practices, technology, law, security requirements, or other circumstances.
The "Last Updated" date will identify the latest version.
For material changes, ShineQuo may provide additional notice through email, the platform, the website, or another reasonable method.
Where applicable law requires affirmative consent to a change, ShineQuo will request that consent.
Otherwise, continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.

33. Electronic Communications
You agree that electronic notices, disclosures, agreements, and communications provided through ShineQuo, email, or other permitted electronic methods satisfy legal requirements that communications be in writing where permitted by law.
34. Assignment
You may not assign your rights or obligations under these Terms without ShineQuo's written consent.
ShineQuo may assign these Terms as part of a merger, acquisition, corporate reorganization, financing, sale of assets, or similar transaction, subject to applicable law and the Privacy Policy.
35. Severability
If any provision of these Terms is held invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will remain in effect.
36. No Waiver
Failure by ShineQuo to enforce a provision of these Terms does not waive the right to enforce it later.
37. Entire Agreement
These Terms, the Privacy Policy, applicable platform rules, and any additional agreement that expressly applies to you constitute the agreement between you and ShineQuo regarding your use of the Services.
For institutional customers, coaches, mentors, contractors, or partners with a separately signed agreement, that agreement also applies and controls where expressly stated.
